These Terms and Conditions ("Terms") govern your use of the digiwings.co.uk website and the services provided by Digiwings. By using our website or engaging our services, you agree to these Terms.

Digiwings is operated by Onur Sendere, a sole trader based at 34-35 Butcher Row, Shrewsbury, Shropshire, SY1 1UW, United Kingdom.

Services

Digiwings provides web design, SEO and GEO optimisation, content marketing, social media management and website hosting and maintenance services for small and medium-sized enterprises (SMEs).

Service specifications, deliverables, timelines and pricing for each project are agreed in writing (via email or a formal proposal) before any work begins. These agreed terms form part of the contract between you and Digiwings.

Quotes and Pricing

All prices listed on our website are in British Pounds Sterling (GBP) and are exclusive of VAT unless stated otherwise. Digiwings is not currently VAT registered, so no VAT is charged.

Quotes are valid for 30 days from the date of issue unless otherwise stated. Prices for standard packages are as published on the website at the time of agreement. Custom work is quoted separately and confirmed in writing before work begins.

Payment Terms

Web design projects:

50% deposit required before work begins.
50% balance due on completion, before the website goes live.
Payment is accepted via bank transfer.

Monthly retainers (SEO, content marketing, social media, hosting):

Invoiced monthly in advance.
Payment due within 14 days of the invoice date.
Minimum 6-month commitment applies to SEO, content marketing and social media management retainers. After the initial period, retainers continue on a rolling monthly basis and can be cancelled with 30 days' written notice.

Late payment: If payment is not received within 14 days of the due date, we reserve the right to suspend work on your project or services until payment is made. We may also charge interest on overdue amounts at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Project Process and Timelines

Timelines quoted are working days and begin once the deposit has been received and all required materials (images, brand files, access credentials) have been provided by you.

Delays caused by late provision of materials, delayed feedback or changes to the agreed scope will extend the project timeline accordingly. We will keep you informed of any impact on delivery dates.

Each web design package includes a specified number of revision rounds (1 for Launch, 2 for Business and Advanced packages). Additional revisions beyond the included rounds are charged at £50 per hour.

Intellectual Property

Your content: You retain full ownership of all text, images, logos and other materials you provide to us for use in your project.

Our work: Upon receipt of full payment, all custom design work, code and content created by Digiwings for your project is transferred to you. You own the finished website, its content and its design.

Third-party licences: Some elements used in your website (WordPress, plugins, stock images, fonts) are subject to their own licence terms. We will inform you of any relevant third-party licences that apply.

Pre-existing tools and templates: Digiwings retains ownership of any proprietary tools, processes, code libraries or frameworks developed independently and used across multiple client projects. These remain the intellectual property of Digiwings.

Website Hosting

If you purchase hosting through Digiwings, we provide UK-based server hosting with daily backups, SSL certificates and security monitoring as specified in your hosting plan.

We will make reasonable efforts to maintain 99.9% uptime, but we do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible.

We are not liable for data loss caused by circumstances beyond our reasonable control, including but not limited to server failures, cyberattacks, natural disasters or third-party provider outages. We recommend maintaining your own backups of critical content.

Your Responsibilities

When engaging our services, you agree to:

Provide accurate and complete information about your business and project requirements.
Provide all required materials (images, logos, text, access credentials) within a reasonable timeframe.
Review and provide feedback on deliverables within 5 working days of receipt, unless otherwise agreed.
Ensure that any content you provide for use on your website does not infringe any third-party intellectual property rights.
Make payments in accordance with the agreed payment terms.

Limitation of Liability

To the maximum extent permitted by law:

Our total liability for any claim arising from our services is limited to the total fees paid by you for the specific service in question.
We are not liable for any indirect, incidental, special or consequential damages, including but not limited to loss of profits, business interruption, loss of data or loss of business opportunity.
We are not responsible for the performance of third-party services (Google, Meta, Cloudflare, hosting providers, payment processors) or for changes to third-party platforms that may affect your website or marketing campaigns.
We do not guarantee specific search engine rankings, traffic volumes or revenue outcomes from SEO, GEO optimisation, content marketing or social media management services. We will apply industry best practices and make reasonable efforts to achieve the agreed objectives.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

Cancellation and Refunds

Web design projects: If you wish to cancel a web design project after work has begun, the deposit is non-refundable as it covers work already completed. If the project is cancelled before any work has started, the deposit will be refunded in full.

Monthly retainers: Retainers with a minimum commitment period can be cancelled after the initial period with 30 days' written notice. No refunds are issued for the current billing period after cancellation.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the project. This includes but is not limited to business strategies, pricing, customer data and login credentials.

We will not share your business information with third parties except as necessary to deliver the agreed services (e.g. providing content to a hosting provider).

Use of Work in Portfolio

We reserve the right to display completed work in our portfolio, on our website and in marketing materials unless you request otherwise in writing. We will always seek to represent your business positively and accurately.

Website Usage

By using digiwings.co.uk, you agree not to:

Use the website for any unlawful purpose.
Attempt to gain unauthorised access to any part of the website or its systems.
Copy, reproduce or redistribute website content without our written permission.
Interfere with the proper functioning of the website.

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on this page with an updated revision date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
